Please read the following Terms of Use carefully, which may be updated by Reel from time to time without notice to you (the Terms of Use, as modified from time to time, the “Terms”). The Reel website (the “Site”) is operated by Reeelit Incorporated. The most current version of the Terms can be accessed at any time at http://joinreel.co/terms. When using the site, you will be subject to any additional posted guidelines or rules applicable to specific products, services, or features which may be posted from time to time.

THESE TERMS INCLUDE, AMONG OTHER THINGS, YOUR AUTHORIZATION FOR DEBITS AND CREDITS FROM AND TO YOUR BANK ACCOUNT VIA THE AUTOMATED CLEARINGHOUSE NETWORK (“ACH”) AND A BINDING ARBITRATION PROVISION CONTAINING A CLASS ACTION WAIVER.

ACCEPTANCE OF TERMS OF USE

Registering/ entering into the platform will be deemed as acceptance of these Terms and our Privacy Policy. Please read these Terms and our Privacy Policy carefully. In addition, when using particular Reel services, you also shall be subject to any posted guidelines, FAQs, or rules applicable to such services, which may be posted and modified from time to time. You represent and warrant that all User Information you provide us from time to time is truthful, accurate, current, and complete, and you agree not to misrepresent your identity or your User Information.

ELIGIBILITY

THE SITE IS NOT AVAILABLE TO PERSONS OUTSIDE THE UNITED STATES OR TO ANY USERS SUSPENDED OR REMOVED FROM THE SITE BY REEL. BY USING THE SITE, YOU REPRESENT THAT YOU ARE A UNITED STATES RESIDENT WHO HAS NOT BEEN PREVIOUSLY SUSPENDED OR REMOVED FROM THE SITE.

You may only use the Services for your own personal, non-commercial use and not on behalf of or for the benefit of any third-party. Your use of the Services must comply with all applicable law. If your use of the Services is prohibited by applicable law, then you are not authorized to use the Services. We are not responsible if you use the Services in any manner that violates applicable law. You agree not to authorize any other person or entity to use your username and password or mobile device to access the Services. You are solely responsible for the maintenance, confidentiality, and security of your username, password, and other User Information. Except as otherwise required by applicable law, you are responsible for all transactions and other activities authorized or performed using your username and password or mobile device, whether authorized or unauthorized by you. Except as otherwise expressly stated in these Terms or required by applicable law, we are not responsible for any losses arising out of the loss or theft of your User Information or your mobile device or from unauthorized or fraudulent transactions associated with your Bank Account or your Reel Account. If you suspect or become aware of any unauthorized activity or access to your username, password, or mobile device, you must contact us immediately at hello@joinreel.co.

AGE

Reel’s services are available only to, and may only be used by, individuals who are 18 years and older who can form legally binding contracts under applicable law. You represent and warrant that you are at least 18 years old and that all registration information you submit is accurate and truthful. Reel may, in its sole discretion, refuse to offer access to or use of the Services to any person or entity and change its eligibility criteria at any time. This provision is void where prohibited by law and the right to access the Services is revoked in such jurisdictions. Individuals under the age of 18 must at all times use Reel’s services only in conjunction with and under the supervision of a parent or legal guardian who is at least 18 years of age. In all cases, the adult is the user and is responsible for any and all activities.

COMPLIANCE

You agree to comply with all local laws regarding online conduct and acceptable content. You are responsible for all applicable taxes. In addition, you must abide by Reel’s policies as stated in the Agreement and the Reel policy documents listed below (if applicable to your activities on or use of the Services) as well as all other operating rules, policies and procedures that may be published from time to time on the Site by Reel. In addition, some services offered by Reel may be subject to additional terms and conditions promulgated by Reel from time to time; your use of such services is subject to those additional terms and conditions, which are incorporated into this Agreement by this reference. For our compliance purposes and in order to provide the Services to you, you hereby authorize us to, directly or through a third-party, obtain, verify, and record information and documentation that helps us verify your identity and Bank Account information. When you register for the Services and from time to time thereafter, we may require you to provide and/or confirm information and documentation that will allow us to identify you, such as:

A copy of your government-issued photo ID, such as a passport or driver’s license;
A copy of a utility bill, bank statement, affidavit, or other bill, dated within three months of our request, with your name and U.S. street address on it; and
Such other information and documentation that we may require from time to time.

By using the Services and providing User Information to us, you automatically authorize us to obtain, directly or indirectly through our third-party service providers and without any time limit or the requirement to pay any fees, information about you and your Bank Account from the financial institution holding your Bank Account and other third-party websites and databases as necessary to provide the Services to you.

FEES

There is no fee and no purchase necessary to entry the platform. However there is a 5% service charge, or a $5 minimum charge, associated with your reels, this covers money transferring, price monitoring & order processing fees. This charge is already included in the price of the item you decide to save for.

REFUND

If at any point during the process the user decides to ask for their money back, also know as a “cash out,” the money saved through Reel will be returned to the user’s Bank Account where the funds originated from. It will take up to 10 Business Days for the refund to be processed by Reel (this does not include banking institutions’ processing times). A 10% fee will be applied over the amount the user has saved for when the refund is requested. If after receiving the item, the user decides to return it and requests a refund while knowingly refusing Reel to exchange the item or replacing the order from a different retailer, or even transferring the accrued funds towards a different item, Reel will subtract the provided 5% Service Fee upon refunding the requested cash out amount.

YOUR AUTHORIZATION FOR ACH DEBITS AND CREDITS

By agreeing to these Terms, you authorize Reeelit Incorporated to electronically debit and credit your designated deposit account at your designated depository financial institution (your “Bank Account”) via ACH and, if ever applicable, to correct erroneous debits and credits via ACH. You also acknowledge that the amount and frequency of the foregoing debits and credits may vary and that you waive your right to receive prior notice of the amount and date of each debit and credit.

In addition, by agreeing to these Terms, you authorize Reeelit Incorporated to electronically debit your Bank Account via ACH (and, if applicable, to electronically credit your Bank Account to correct erroneous debits). You acknowledge that the electronic authorization contained in this Section represents your written authorization for ACH transactions as provided herein and will remain in full force and effect until you notify Reel that you wish to revoke this authorization by emailing hello@joinreel.co. You must notify Reel at least three Business Days before the scheduled debit date of any ACH transaction from your Bank Account in order to cancel this authorization. If we do not receive notice at least three Business Days before the scheduled debit date, we may attempt, in our sole discretion, to cancel the debit transaction. However, we assume no responsibility for our failure to do so. If you withdraw your electronic authorization contained in this Section, we will close your Reel Account and return the balance in your Reel Account to your Bank Account as set forth in these Terms, and you will no longer be able to use your Reel Account or the Services, except as expressly provided in these Terms. Please note that withdrawal of your electronic authorization contained in this Section will not apply to ACH transactions performed before the withdrawal of your authorization becomes effective. In addition to any of your other representations and warranties in these Terms, you represent that: (a) your browser is equipped with at least 128-bit security encryption; (b) you are capable of printing, storing, or otherwise saving a copy of this electronic authorization for your records; and © the ACH transactions you hereby authorize comply with applicable law. For purposes of these Terms, “Business Day” means Monday through Friday, excluding federal banking holidays.

SERVICE RULES

CHANGES

Reel reserves the right to cancel or amend all or any part of the service/or the Rules without notice for any event that is outside of Reel’s reasonable control. Any changes to the Rules, or cancellation of the service, will be posted on Reel’s website (http://www.joinreel.co). It is the responsibility of users to keep themselves informed as to any changes to the Rules.

DISPUTE

In the event of any dispute regarding the Rules, the conduct or results, or any other matter relating to our service, the decision of Reel shall be final and unchallengeable and no correspondence or discussion shall be entered into, comment issued, or reason given in respect of any decision.

INACCURATE PRIZE / PRODUCT

Reel is not responsible if the chosen target or product is incorrectly described on a third-party website. There will be no cash alternative offered in lieu of the product chosen by the Participant Under any circumstances.

THIRD-PARTY WEBSITES

The Services may contain links or connections to third-party websites or services that are not owned or operated by us or our third-party service providers or licensors. We provide such links and connections for your reference only. We do not control such third-party websites or services and are not responsible for their availability or content. Our inclusion of such links and connections does not imply our endorsement of such third-party websites or services or any association with their owners or operators. We assume no liability whatsoever for any such third-party websites or services or any content, features, products, or practices of such third-party websites or services. Your access and use of such third-party websites and services is subject to applicable third- party terms and conditions and privacy policies. We encourage you to read the terms and conditions and privacy policy of each third-party website or service that you visit or utilize.

SUBMISSIONS

Any communication or material you post, transmit, or distribute to the Reel Website by electronic mail or otherwise, including any data or other content, questions, comments, suggestions, or the like, is and will be treated as, non-confidential and non-proprietary. Anything you transmit or post may be used by Reel or its affiliates for any purpose, including but not limited to, reproduction, disclosure (to law enforcement entities or others), transmission, publication, broadcast, and posting. Furthermore, Reel is free to use any ideas, concepts, know-how, or techniques contained in any communication you send to the website for any purpose whatsoever including but not limited to, developing, manufacturing, and marketing products using such information.

WARRANTY AND INDEMNIFICATION

By using the Reel Website in any manner, you represent and warrant that your use will be consistent with these Terms and Conditions, including Fair Use. You agree to indemnify, defend, and hold Reel, its affiliates, trustees, directors, officers, employees, or agents harmless from all claims, causes, costs, expenses, fees (including reasonable attorneys’ fees), judgments, liabilities, losses, and damages arising from or relating to your use of the Reel Website.

DISCLAIMER OF WARRANTIES

REEL PROVIDES THE SITE ON AN “AS IS” BASIS. YOUR USE OF THE SITE, CONTENT, AND COMPILATION IS AT YOUR OWN RISK. REEL DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, COPYRIGHT OWNERSHIP AND/OR NONINFRINGEMENT OF COPYRIGHTS OR OTHER THIRD-PARTY PROPRIETARY RIGHTS. REEL DOES NOT WARRANT THAT THE SITE WILL PROVIDE CONTINUOUS, PROMPT, SECURE, OR ERROR-FREE SERVICE. REEELIT INC. MAKES REASONABLE, ONGOING EFFORTS TO REVISE AND UPDATE THE SITE, BUT ASSUMES NO LIABILITY FOR ANY ERRORS OR OMISSIONS, INCLUDING THE INACCURACY OF CONTENT, OR FOR ANY DAMAGES OR LOSSES THAT YOU OR ANY THIRD-PARTY MAY INCUR AS A RESULT OF THE UNAVAILABILITY OF THE SITE. REEL ASSUMES NO RESPONSIBILITY, AND SHALL NOT BE LIABLE FOR ANY DAMAGES OR VIRUSES THAT MAY AFFECT YOUR COMPUTER EQUIPMENT OR OTHER PROPERTY ARISING FROM YOUR USE OF THE SITE, INCLUDING BUT NOT LIMITED TO THE REPRODUCTION OF THE CONTENT OR COMPILATION.

LIMITATION ON LIABILITY

NEITHER REEL, ITS AFFILIATES, TRUSTEES, DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS SHALL HAVE ANY LIABILITY FOR ANY DAMAGES, INCLUDING WITHOUT LIMITATION, ANY DIRECT, INDIRECT, INCIDENTAL, COMPENSATORY, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES (EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) ARISING FROM OR RELATED TO YOUR USE OF THE SITE, CONTENT, AND/OR COMPILATION.

SEVERANCE AND WAIVER

You acknowledge and agree that in the event any provision of these Terms and Conditions shall be held by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, in any respect, the validity, legality, and/or enforceability of the remaining terms and conditions contained herein shall not in any way be affected or impaired thereby. In such event, the parties agree that such invalid term(s) or condition(s) shall be validly reformed by the court to as near approximate the intent of the parties as reflected in the provision, and if unreformable, shall be severed and deleted from these Terms and Conditions. Reel’s failure to exercise or enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision unless agreed to in writing by Reel.

VENUE AND CHOICE OF LAW

These Terms and Conditions and any counterparts, amendments, or revisions thereto shall be governed and construed in accordance with the laws of the State of California, without regard to principles of conflicts of laws. Any case, controversy, suit, action, or proceeding arising out of, in connection with, or related to this Agreement shall be brought in a Federal or State court located in Los Angeles and the State of California, and the parties hereby waive any objection that they may have to personal jurisdiction in these courts.

ENTIRE AGREEMENT

These Terms and Conditions are the complete statement of the agreement of the parties with respect to the subject hereof and supersede all prior agreements and understandings between the parties hereto with respect to the subject hereof. In order to be binding, any amendment or modification of this Agreement must be effected by an instrument in writing signed by the parties. Reel is not a financial adviser, and the Services are not intended to provide financial advice. Your financial situation is unique. We are not responsible for ensuring your Bank Account has sufficient funds for your needs, purposes, or transactions. We do not make any representations, warranties, or guarantees of any kind that the Services are appropriate for you. Before using the Services, you should consider obtaining additional information and advice from a financial adviser.
